Terms of Sale

These terms apply to wholesale orders for asphalt additives, bitumen emulsions, and related chemicals placed with Yılmazer Asfalt, İnşaat, Turizm, Mühendislik Sanayi ve Ticaret Limited Şirketi ("we", "us"). They apply to business (B2B) customers only.

Quotations and Orders

Prices, lead times, and availability given on this website or in written quotations are non-binding and subject to confirmation. A contract is formed only when we issue a written order confirmation for the specific quantity, product, and delivery terms agreed with the buyer.

Pricing and Payment

Prices are quoted per order in the currency and on the payment terms stated in the order confirmation (e.g. advance payment, letter of credit, or agreed net terms). Prices exclude freight, insurance, duties, and taxes unless explicitly stated otherwise.

Delivery

Goods are delivered in bulk tanker, drum, IBC, or bagged form as agreed in the order confirmation, under the Incoterms® rule stated on the confirmation. Risk in the goods passes to the buyer in accordance with that Incoterms rule. Delivery dates are estimates; we are not liable for delays caused by carriers, customs, or events beyond our reasonable control.

Product Specifications and Documentation

Technical Data Sheets (TDS) and Safety Data Sheets (MSDS) are available on request for every product. Products are manufactured to the specification stated in the applicable TDS at the time of dispatch, subject to normal manufacturing tolerances. It is the buyer's responsibility to confirm a product's suitability for its intended application before use.

Warranty and Liability

We warrant that products conform to their published specification at the time of dispatch. Our liability under this warranty is limited, at our option, to replacement of non-conforming goods or refund of the price paid. We are not liable for damages arising from improper storage, handling, transport, or use of the product after delivery, or for indirect or consequential losses, to the extent permitted by applicable law.

Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, labor disputes, raw material shortages, or governmental action.

Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Türkiye. Any dispute arising from an order shall be subject to the exclusive jurisdiction of the courts of Ankara, Türkiye, unless otherwise agreed in writing for a specific order.

Changes to These Terms

We may update these terms from time to time; the version in force at the time an order is confirmed applies to that order.
